Terms of Service (United States)
Thank you for using Univalent Legal Platform. These Terms of Service ("Terms") are an agreement between you and Univalent Corporation ("we", "us"). "Services" means Univalent Legal Platform and the websites, apps and connectors we provide with it. "You" means the person using the Services and, where they use them for an organization, that organization.
Where these Terms apply. These Terms govern the Services we provide to customers located in the United States, and the data we host in the United States. Services provided in Japan, and data hosted in Japan, are governed by our Japanese Terms of Service instead. This English text is the authoritative version of these Terms.
By creating an account or using the Services you agree to these Terms and to our Privacy Policy. These Terms limit our liability; please read them.
1. We are not a law firm
The Services are software that helps people and organizations organize legal matters and work with independent legal professionals. Univalent Corporation is not a law firm, does not provide legal advice, and using the Services does not create an attorney–client relationship with us.
Legal advice you receive through the Services comes from the legal professional who gives it, who alone is responsible for it. Summaries, questions and other content generated by AI features can be inaccurate or incomplete: they are not legal advice, and should be checked before anyone relies on them.
2. Your account
- You must be at least 18 years old, and a person rather than an automated program, to have an account.
- Keep your sign-in details secure. You are responsible for activity under your account, and an organization's administrators for the members they invite.
- If you create an account for an organization, you confirm you are authorized to accept these Terms on its behalf.
3. Acceptable use
You may not, or let anyone else:
- use the Services for anything unlawful, or to infringe or violate anyone's rights;
- try to get around access controls, see data you are not permitted to see, or disrupt the Services;
- upload malware, or scrape, copy or reverse engineer the Services except where the law allows it;
- use the Services or their output to build a competing product or train AI models.
4. Your content
Everything you and your organization put into the Services — consultations, messages, documents and files — and what the Services produce from it remains yours. You give us only the limited permission we need to store, process and transmit that content to provide the Services to you, as described in our Privacy Policy.
We do not use your content to train AI models. We will only do so if your organization explicitly opts in, under terms we show it before it agrees, and it can withdraw at any time.
You are responsible for having the right to upload what you upload. If you send us feedback or suggestions, we may use them without obligation to you.
5. Privacy and confidentiality
We process personal information as our Privacy Policy describes and for no other purpose. For content your organization puts into the Services, we act on its behalf and under its instructions, as its service provider under the California Consumer Privacy Act and similar state laws. We do not sell that content, share it for cross-context behavioral advertising, or use it for our own purposes.
Our staff look at your content only when needed to help with a support request you make, fix a problem that stops the Services from working, protect the security of the Services, or comply with the law.
6. Connected services
Your organization can connect the Services to others, such as Slack, LINE, Notion or email. Those services are provided by their own operators under their own terms, and we are not responsible for them. Connecting one directs us to exchange data with it on your organization's behalf.
7. Fees
If you use a paid plan, its price and billing terms are shown before you buy. Fees exclude taxes unless stated. We give at least 30 days' notice before changing what an existing subscription costs.
8. Cancellation and termination
You can stop using the Services at any time. We may suspend or end access for anyone who breaches these Terms, puts the Services or others at risk, or where the law requires it; where we reasonably can, we will tell you first and give you a chance to export your content. Content of a closed account is deleted as our Privacy Policy describes.
9. Changes to the Services
We improve the Services continually, and may add, change or remove features. If we discontinue the Services we will give reasonable notice and time to export your content.
10. Disclaimers
We work hard to keep the Services available, accurate and secure, but provide them "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including that the Services will be uninterrupted, error-free, merchantable, or fit for a particular purpose.
11. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, and our total liability arising from the Services or these Terms is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.
Nothing in these Terms excludes or limits liability for our fraud, willful misconduct or gross negligence, or any other liability that cannot be excluded or limited under applicable law. Some states do not allow certain exclusions or limitations, so some of the above may not apply to you.
12. Changes to these Terms
We may change these Terms as our Services, practices or the law change. We announce a change, its content and when it takes effect in the Services or by email, at least 30 days ahead for a material change unless the law requires it sooner. We will not apply a change that expands how we use your content, such as for AI training, to content we already hold without your consent.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising from them or the Services is subject to the exclusive jurisdiction of the state and federal courts located in Delaware, without depriving consumers of the protection of the mandatory laws of the state they live in.
